Terms of Service

Last updated: [OWNER: date]

1. Who we are

Virtual Offsite is run by [OWNER: legal entity name], [OWNER: address] ("we", "us"). These terms apply when you use the hosted service at virtualoffsite.com.

2. The service

Virtual Offsite provides online meeting rooms where a team writes, votes, and records decisions together. It works alongside your video call. It does not carry video or audio.

3. Accounts

Organizers sign in to set up and manage rooms. Attendees do not need accounts. They join with a personal link or with a room code and a name. Organizers are responsible for who they invite and for what those people do in their rooms.

4. Plans, trial, and billing

We offer the Rooms plan and the Facilitator plan, billed monthly or yearly. New workspaces start with a 14 day free trial. A card is required to start the trial. Billing is handled by Stripe. Paid plans renew automatically at the end of each period until you cancel.

You can cancel at any time from the billing page. Cancellation takes effect at the end of the paid period. After you cancel, your session records stay readable and downloadable. We do not delete them automatically.

5. Acceptable use

Do not use the service to break the law, to harass anyone, to upload malware, to probe or disrupt the service, or to store content you have no right to store. We may suspend a workspace that breaks these rules.

6. Your content

You own what you and your team enter into rooms. You give us a license to host, copy, and process that content only as needed to run the service for you, including making backups and building records.

7. The AI agent

The Facilitator plan includes an optional AI agent. When it is on, the text it works on is sent to a model provider ([OWNER: model provider name]) to produce a record read-back. When it is off, nothing is sent. We do not use your meetings to train models. AI output can contain mistakes, so check records before you rely on them.

8. Open-source code

The self-hosted room code is published separately under its own MIT license. That license governs the code. These terms govern the hosted service.

9. Availability and changes

We work to keep the service running but do not promise it will always be available. We may change the service and these terms. For material changes we will give notice by email or in the product before they take effect.

10. Warranty disclaimer

The service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, including fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. [OWNER: confirm cap and carve-outs with counsel.]

12. Termination

You may stop using the service at any time. We may suspend or end your access for a serious or repeated breach of these terms. Sections that by their nature should survive will survive.

13. Governing law

These terms are governed by the laws of [OWNER: governing law and venue].
